Fosun, propriétaire de Lanvin, n’a pas respecté plusieurs éléments du pacte d’actionnaires que le groupe chinois a signé avec les investisseurs minoritaires de la maison française et a appelé sa division mode Lanvin Group sans leur autorisation, selon des documents officiels publiés ces derniers jours.
Le litige intervient alors que Fosun doit fusionner au début du mois prochain avec une société d'acquisition à vocation spécifique (special purpose acquisition company, SPAC) cotée à New York, une transaction qui lui permettrait de lever jusqu'à 544 millions de dollars. Comme de nombreuses entreprises chinoises, Fosun a de plus en plus de mal à sortir de l'argent de Chine et a besoin de liquidités pour se développer et éponger les pertes de Lanvin et de ses autres maisons de mode.
Mais avant d'acheter la moindre action, les investisseurs potentiels seraient avisés de lire attentivement les documents que Fosun a enregistrés auprès du régulateur boursier américain, la Securities and Exchange Commission (SEC). Dans l'histoire des introductions en Bourse via un SPAC, rarement une société a publié autant d'avertissements si surprenants.
